1. Your agreement with Redline Growth

These Terms of Service (the Terms) govern access to Lanyard, including its website, application, research tools, APIs, connected workflows, and purchased deliverables (the Service). The Service is provided by Huber Lane Holdings LLC, a Delaware limited liability company doing business as Redline Growth (Redline, we, us, or our).

By using the Service, completing a signup or purchase that references these Terms, or signing an order that incorporates them, you agree to these Terms. If you act for a company or other organization, you represent that you have authority to bind it. Customer or you means that organization, or you individually if purchasing for your own business. The Service is intended for business purposes, and users must be at least 18 years old.

An Order is a checkout accepted by Customer, an order form signed by both parties, or another written purchase agreement identifying the Service, fees, and scope. A separately signed agreement controls conflicts to the extent it expressly covers the Service. Otherwise, an Order controls its specific commercial details and these Terms govern the rest. Our Privacy Policy explains how we handle personal information.

2. What Lanyard provides

Lanyard helps business teams identify conferences, discover and prioritize relevant professional contacts, enrich business contact records, understand potential fit, prepare conversation openers, and coordinate customer-authorized outreach. Depending on the Order, outputs may include ranked profiles, event-attendance evidence, business research, source references, verified work-contact fields, dossiers, suggested messages, swipe decks, exports, and API responses (Outputs).

Research may use customer-authorized lists, permitted public professional sources, event sites, public posts, third-party research and enrichment providers, and public-search results previously collected for the same event. Customer-uploaded person-level records are not reused for another customer. Public identity, professional, and event-attendance facts may support another campaign, but each campaign’s scores, rankings, dossiers, decisions, and outreach instructions remain specific to that campaign.

Inclusion in a result does not establish private registration, actual attendance, buying intent, interest in Customer, or permission to contact someone. Event admission, organizer permission, meetings, prospect responses, revenue, and campaign results are not guaranteed.

3. Accounts and security

Provide accurate account and billing information, keep it current, and safeguard login credentials. Do not share an individual login outside its authorized user. Customer controls its authorized users and is responsible for their activity, except to the extent a security incident results from our breach of this agreement or applicable law.

Notify us promptly at nick@redlinegrowth.com if you suspect unauthorized access. We may request reasonable verification before changing account control or releasing data.

4. Customer data and permission to use it

Customer Data includes files, attendee records, business criteria, prompts, notes, connected-workflow instructions, and other content Customer submits. Customer retains its rights in Customer Data and grants us a limited right to process it to provide the Service, follow documented instructions, provide support, maintain security, and meet legal obligations. We may use contracted service providers for those purposes.

Customer represents that it has the rights, permissions, and lawful basis needed to collect, upload, share, and use Customer Data and resulting Outputs. Having access to an event app or list does not itself establish those rights. Customer must comply with organizer terms, source licenses, confidentiality obligations, and applicable privacy requirements.

Do not upload payment-card numbers, government identifiers, health information, biometric identifiers, precise personal location, sensitive personal characteristics, information about children, or data outside the Service’s business-research scope. We may reject, restrict, or delete prohibited or unlawfully supplied data.

5. Permitted use and restrictions

Subject to these Terms and payment of applicable fees, Customer may use the Service and permitted Outputs for internal business research and relationship development within the purchased scope.

You must not:

  • use the Service for unlawful discrimination, harassment, stalking, fraud, impersonation, deceptive communications, or unlawful surveillance;
  • use Outputs for decisions about employment, housing, credit, insurance, education, or another legally significant personal benefit, or represent them as a consumer report;
  • bypass access restrictions, rate limits, source licenses, or security controls, or direct us to do so;
  • sell, publish, or redistribute person-level Outputs as a contact database;
  • attempt to access another customer’s records, disrupt the Service, introduce malicious code, or extract nonpublic source code except where law expressly permits; or
  • remove attributions or falsely imply endorsement by an event organizer or researched person.

Customer is responsible for outreach it authorizes or conducts using Outputs, including recipient selection, message review, lawful basis or consent, truthful identification, required postal details, opt-outs, suppression, and applicable email, telephone, text-message, and platform rules. A verified work address is not proof of consent or authorization to contact its owner.

6. AI assistance, sources, and review

The Service may use AI and automated research, enrichment, and scoring. Sources can be incomplete, outdated, or inaccurate. AI may produce errors, omit context, or generate similar material for different users. A ranking or suggested opener is a business-relevance assessment, not a fact about a person’s intentions or likely response.

Customer must exercise reasonable judgment and review material facts before relying on or communicating Outputs. We do not guarantee that generated material is unique, eligible for copyright protection, or suitable for every use.

We will not use nonpublic Customer Data to train a general-purpose AI model or authorize a provider to do so without Customer’s separate affirmative permission. We may use genuinely deidentified, aggregated operational statistics to evaluate and improve the Service without attempting to reidentify anyone.

7. Fees, credits, and payment

The applicable Order states the price, currency, scope, billing schedule, credits, usage limits, and separately chargeable services. Unless stated otherwise, fees are in U.S. dollars and exclude applicable taxes. Customer is responsible for transaction taxes other than taxes on our net income.

By purchasing, Customer authorizes charges through the selected payment method. A one-time purchase does not create a recurring subscription. Credits are applied under the terms shown at purchase and have no cash value except where law requires otherwise. Fees are nonrefundable except where an Order, these Terms, a stated guarantee, or applicable law provides otherwise.

8. Subscriptions, if expressly purchased

This section applies only when an Order expressly identifies a recurring subscription. Before authorization, we will disclose the recurring amount, billing interval, term, trial or promotion, renewal terms, cancellation method, and applicable refund treatment.

An authorized subscription renews for the disclosed interval until canceled. Cancel before renewal through the method identified at purchase or by emailing nick@redlinegrowth.com. Unless an Order or law provides otherwise, cancellation stops future renewals and access continues through the paid term. We will give at least 30 days’ advance notice of a price increase.

9. Delivery and applicable Strike Pack guarantee

Delivery timing begins after we receive agreed payment and complete, valid inputs. The Order determines scope and timing. Business days exclude Saturdays, Sundays, and U.S. federal holidays, using Central Time.

For an Order expressly sold as a 40-card Lanyard Strike Pack, unless replaced in the Order: if an authorized list cannot support 40 nonduplicate profiles meeting agreed filters, we will notify Customer before research and issue a full refund. Materially nonconforming rows reported within seven calendar days after delivery will be corrected or replaced within two business days after sufficient details are provided. If eight or more cannot be cured, or we miss an agreed deadline for reasons within our control, Customer may choose a full refund.

10. Ownership and licenses

We retain rights in the Service, software, methods, templates, scoring systems, branding, and reusable materials. Other owners retain rights in third-party content and source data. Upon full payment, we assign any rights we own in customer-specific portions of purchased Outputs, excluding underlying materials and third-party content, and grant a perpetual, worldwide, nonexclusive license to use embedded retained materials as part of those Outputs for permitted purposes.

11. Confidentiality and data protection

Each party will protect the other’s nonpublic information reasonably understood to be confidential, use it only for this agreement, and disclose it only to people or service providers who need it and are bound by appropriate obligations. We will maintain reasonable safeguards appropriate to the information processed, but no system is completely secure.

Where we process personal data on Customer’s behalf and applicable law requires a data processing agreement, the parties must put one in place before that processing begins.

12. Third parties and connected workflows

The Service may reference or connect with third-party websites, sources, payment services, research providers, enrichment tools, and customer outbound systems. Their terms and policies govern their independent services. Customer must not connect or provide data from an account without appropriate authority.

Lanyard may send account, security, purchase, and campaign-status communications to its users, including text messages where the user has consented. Outreach to researched contacts occurs only when Customer or its authorized operator directs it through a supported connected workflow. Customer remains responsible for that outreach.

13. Changes, suspension, and termination

We may maintain, improve, or change the Service, but will not materially reduce purchased core functionality during a paid term without a reasonable substitute or proportionate refund. We may suspend access for a credible security threat, unlawful activity, material breach, or legal requirement. Either party may terminate for a material breach not cured within 15 days after written notice, with immediate termination where a breach cannot be cured or continued performance would be unlawful.

Customer may stop using the Service and request account closure at any time, subject to disclosed payment commitments. Export permitted data before closure. Remaining data is handled under the Privacy Policy, applicable law, and any data processing agreement.

14. Warranties and disclaimers

We will provide the Service with reasonable care and skill. Except for that commitment, express Order commitments, and rights that cannot legally be excluded, the Service and Outputs are provided as is and as available. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant uninterrupted operation, error-free research, or any particular business result.

15. Limits of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, opportunities, or goodwill arising from this agreement, even if advised of their possibility.

Each party’s total aggregate liability will not exceed the greater of US $100 or the fees Customer paid or owes for the affected Service during the 12 months before the event giving rise to the claim. These limits do not apply to Customer’s payment obligations, Section 16 obligations, fraud, willful misconduct, gross negligence, or liability that cannot lawfully be limited.

16. Third-party claims arising from Customer misuse

Customer will defend us and our personnel against a third-party claim arising from Customer’s unlawful provision of Customer Data, infringement of rights in that data, unlawful outreach, or intentional misuse materially violating these Terms. This does not apply to the extent a claim results from our breach, negligence, or misconduct. We must give prompt notice and reasonable cooperation, and Customer may not settle in a way that admits fault by us, imposes nonmonetary duties on us, or leaves us without a full release without our consent.

17. Governing law and disputes

Illinois law governs this agreement, excluding conflict-of-law rules. Subject to nonwaivable rights, the parties consent to exclusive jurisdiction in state courts in Cook County, Illinois, or the federal court for the Northern District of Illinois.

Before filing a claim, send a description to nick@redlinegrowth.com. We will work in good faith to resolve it for up to 30 days. This does not prevent urgent protective relief, preservation of a filing deadline, or exercise of nonwaivable rights. These Terms do not require arbitration or waive class-action rights.

18. Updates to these Terms

We may revise these Terms and will identify the revised effective date. We will notify existing Customers of material changes through the Service or their account email before those changes apply and obtain renewed affirmative acceptance where required. Posting revised Terms alone does not retroactively amend an accepted Order.

19. General provisions

Neither party may assign this agreement without the other’s consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets, provided the assignee assumes the obligations. Neither party is responsible for delay caused by events beyond reasonable control, except payment obligations. If a provision is unenforceable, it will be limited to the extent lawful and the remainder will continue.

We may send operational and contractual notices to Customer’s account email or through the Service. Optional marketing preferences do not prevent necessary account, security, billing, or legal notices.
